By accessing or using AlenAI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms are governed by the laws of the Federal Republic of Germany and the European Union.

2. Description of Service

AlenAI provides an AI-powered personal assistant platform that helps users with tasks including but not limited to: research, content creation, scheduling, document analysis, and general productivity assistance. The Service uses third-party AI models to generate responses and perform tasks.

3. User Accounts and Eligibility

To use the Service, you must:

• Be at least 16 years of age (or the minimum age in your jurisdiction)
• Create an account with accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Generate, distribute, or promote harmful, illegal, or abusive content

5. Intellectual Property

Our Rights: AlenAI and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and content provided by us.

Your Rights: You retain all rights to content you upload or create using the Service. We do not claim ownership of your input or the outputs generated for you, except as necessary to provide the Service.

Feedback: By providing feedback, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate your feedback into our Service.

6. AI-Generated Content

You understand and agree that:

• AI-generated outputs may not always be accurate, complete, or appropriate
• You are responsible for reviewing and verifying AI-generated content before use
• We do not guarantee the accuracy, reliability, or suitability of AI outputs
• Similar or identical outputs may be generated for different users
• AI systems may have inherent biases and limitations

7. Data Processing and Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you consent to the processing of your data as described in the Privacy Policy.

You represent and warrant that you have obtained all necessary consents and have a legal basis to upload any personal data of third parties to the Service.

8. Subscription and Payments

Billing: Certain features may require payment. You agree to pay all fees associated with your subscription plan. Fees are non-refundable except as required by law.

Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.

Price Changes: We may modify subscription fees upon notice. Price changes will take effect at the next billing cycle.

9. Termination

By You: You may terminate your account at any time through the Service settings or by contacting us. Your data will be deleted in accordance with our Privacy Policy.

By Us: We may suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice. In case of serious violations, we may terminate immediately.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the preceding 12 months
• We are not responsible for losses due to AI-generated content errors

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded by applicable law.

11. Indemnification

You agree to indemnify and hold harmless AlenAI, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you upload or create.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Berlin, Germany.

As a consumer resident in the European Union, you also benefit from mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer under mandatory applicable law.

13. Dispute Resolution

Informal Resolution: We encourage you to contact us first to resolve any disputes informally at support@alen-ai.com.

EU Online Dispute Resolution: The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution procedures before consumer arbitration boards.

14. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Third-Party Services

The Service integrates with third-party services (e.g., Google, email providers, AI models). Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for third-party services.
